외국인 주주가 신주를 인수할 때 쓰는 영문 주식청약서 견본을 보여 주시나요?
1. 영문 주식청약서 작성 안내
신주를 발행하는 주식회사의 이사는 주식청약서를 작성하여 다음의 사항을 적어야 합니다. 주주가 외국인일 경우에는 영문청약서를 작성합니다. 물론 한글 청약서도 가능합니다. 청약서에는 청약자가 기명날인 또는 서명합니다. 인감도장을 날인할 필요는 없습니다. 물론 인감증명서도 첨부하지 않습니다. 청약서는 2부 작성합니다. 1부는 은행에 주금납입할 때 사용(자본금 10억원 이상일 때)하고, 1부는 회사가 가지고 있다가 등기신청서에 첨부합니다.
2. 주식청약서 기재사항을 정한 상법 규정
상법 제420조(주식청약서)이사는 주식청약서를 작성하여 다음의 사항을 적어야 한다.
